Terms of Service

These Terms of Service (“Terms”) govern your use of the HOA King service operated by UFO Chaser LLC (“we,” “us,” “our”) at hoakingapp.com (the “Service”). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and have the authority to agree to these Terms. If you use the Service on behalf of an HOA or other organization, you represent that you have authority to bind that organization.

2. Your Account

You are responsible for maintaining the security of your account credentials, including any MFA configuration. You must notify us immediately of any unauthorized use. We are not liable for losses arising from unauthorized access to your account.

3. Acceptable Use

You agree to use the Service only for lawful purposes related to HOA governance and community management. You must not:

• Upload content that is illegal, defamatory, or violates third-party rights
• Attempt to gain unauthorized access to other users’ data or our systems
• Use the Service to make binding legal, financial, or engineering decisions without independent professional verification
• Resell, sublicense, or redistribute the Service without our consent

4. Uploaded Content

You retain ownership of all documents and data you upload. By uploading content, you grant us a limited licence to process, store, and transmit it solely to provide the Service to you. We do not use your content to train AI models or for any purpose beyond delivering the features you request.

5. AI-Generated Outputs

The Service uses artificial intelligence to generate analysis, summaries, and recommendations based on your uploaded documents. These outputs are for informational and decision-support purposes only.

AI outputs are not legal advice, accounting advice, engineering assessments, or professional reserve studies. You should independently verify any AI-generated output before relying on it for board decisions, financial commitments, or regulatory compliance.

We do not guarantee the accuracy, completeness, or suitability of AI-generated outputs. The AI may produce errors, omissions, or outdated information.

6. Service Availability

We strive to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice. Scheduled maintenance will be communicated in advance where practical.

7. Fees, Trials, and Subscriptions

New associations receive a 30-day free trial with full access to paid features. No payment method is required to start the trial. When the trial ends, continued access to paid features requires an active subscription.

Billing. Subscriptions are billed per association on a recurring monthly basis at the price shown at checkout. By subscribing, you authorize us and our payment processor (Stripe) to charge your payment method for each billing period until you cancel. Subscriptions renew automatically at the end of each period unless cancelled.

Cancellation. You may cancel at any time from the billing portal. When you cancel, your subscription remains active through the end of the current paid period, after which it will not renew and access to paid features will end. Except where required by law, payments already made are non-refundable and we do not provide prorated refunds for partial periods.

Failed payments. If a payment fails, we may retry the charge and temporarily continue access during a short grace period. If payment cannot be collected, access to paid features may be suspended until billing is resolved.

Price changes. Current pricing is described on the Service and at checkout. We may change pricing or plan features and will provide advance notice; changes take effect at your next renewal. Pricing shown during our early-access period is preliminary and subject to change. Your data remains available to you regardless of subscription status, subject to these Terms and our data-retention practices.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Intellectual Property

The Service, its design, branding, and code are owned by UFO Chaser LLC. You may not copy, modify, or create derivative works from the Service except as permitted by these Terms. “HOA King” and associated logos are trademarks of UFO Chaser LLC.

10. Limitation of Liability

To the maximum extent permitted by law, UFO Chaser LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service. Our total aggregate liability for any claims arising from these Terms shall not exceed the amounts you paid us in the twelve (12) months before the claim.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI outputs will be accurate, complete, or error-free.

12. Indemnification

You agree to indemnify and hold harmless UFO Chaser LLC from claims, damages, losses, and expenses (including reasonable attorney’s fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

Either party may terminate your account at any time. We may suspend or terminate access if you violate these Terms. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our Privacy Policy.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Colorado.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or email. Continued use after changes constitutes acceptance.
